1. Scope
These business terms apply to the business services of bilbil.fi: claiming a dealer page, the dealer’s own site, managing staff and location details, and managing the dealer’s listings. The services are provided by Actus Analytics Group Oy (Finnish business ID 3647312-5, registered office in Espoo, Finland); in these terms, bilbil.fi means both the service and its provider. The business services are intended for businesses only, and consumer protection legislation does not apply to the agreement.
The general terms of use apply in addition. In case of conflict, these terms prevail for business use.
2. Claiming a dealer page and users
The claim for a dealer page is made by a representative acting on behalf of the dealer, and one representative is enough. By sending the request the representative warrants that they are entitled to represent the dealer and to grant bilbil.fi the rights agreed in these terms to collect and publish the dealer’s data. The agreement is formed when bilbil.fi approves the request. bilbil.fi may refuse a request or withdraw an approval for a justified reason, and the reason is communicated to the dealer.
An approved claim binds the dealer and also covers users added later. The dealer’s users act on behalf of the dealer, and the dealer is responsible for their actions in the service.
3. The dealer site
bilbil.fi produces a site for the dealer on a bilbil.fi subdomain from the dealer’s details and listings. The dealer is responsible for the content it enters itself: the introduction, photos, contact details and other information it provides for the site.
The technical implementation, visibility and search engine indexing of the site are controlled by bilbil.fi. The site may be closed if it is used contrary to these terms or the law, and it is closed when the agreement ends.
4. Staff cards and employee details
The dealer may publish staff cards on its site with an employee’s name, title, contact details and photo. The dealer is responsible for having the right to publish these details and for informing the employee of the publication.
Adding a card sends the employee an invitation to the email address given by the dealer, and through the invitation the employee can manage their own card. Cards are shown on the site only if the dealer has switched them on.
5. Dealer listings
The dealer’s public sales listings are imported into bilbil.fi under the dealer’s management, and the dealer can edit them and publish its own listings. Changes are published without prior review, and the dealer is responsible for the content and legality of its listings. The content requirements are the same as in the terms of use.
bilbil.fi may end a listing or remove it from view when the car is no longer for sale, and keep the listing details up to date.
6. Right to use content, name and logo
The dealer grants bilbil.fi a perpetual, irrevocable and commercial right to use the content of its listings (photos, texts and details) and the dealer’s name and logo. The right covers showing and retaining the content in the service and on the dealer site, marketing the service, and statistics and data products derived from them. It remains in force after a listing ends, after a car is sold and after the agreement ends: presenting price and sales history is the core of the service, and history already published does not disappear with the agreement.
7. Data protection
Each party complies with applicable data protection legislation when processing personal data. bilbil.fi acts as the controller for the personal data it processes in the service, and the processing is described in the privacy policy.
The dealer is responsible for having the right to provide data concerning its staff and other individuals to the service, and for having informed them that the data is published in the service. The dealer may use contact details obtained through the service only for the matter the enquiry concerned.
8. Fees
The business services are currently free of charge. Paid services are agreed separately when ordered, and the price, invoicing and termination terms are stated before the order. Prices are stated exclusive of VAT.
Payment terms are agreed when ordering. Overdue payments accrue statutory interest on late payment, and after a reminder bilbil.fi may suspend the paid service until the overdue amounts have been paid. Changes in taxes and official charges are passed on to prices in full.
9. Order of search results
The user chooses the order of search results, and position cannot be bought. If paid visibility later affects the order, the effect will be described in these terms and when the product is ordered.
10. Availability and changes to the service
The service is provided as it is at any given time. bilbil.fi does not guarantee uninterrupted availability of the business services and gives no service level commitment for them unless separately agreed in writing. Maintenance, faults and network outages may limit use, and we give advance notice of foreseeable interruptions where possible.
bilbil.fi may develop the service and change, add and remove its features and appearance. Material changes affecting the features the dealer uses are notified in advance by email or in the service. bilbil.fi is not liable for delay or interruption caused by an obstacle beyond its control.
11. Liability
The dealer is responsible for the accuracy and legality of its listings, its site and other content it provides to the service, and for having the rights to the material it provides. If a third party makes a claim against bilbil.fi based on the dealer’s content, the dealer is responsible for the claim and for the reasonable costs of dealing with it.
bilbil.fi is not liable for indirect damages such as lost sales. Total liability is limited to the amount the dealer has paid for the service in the 12 months preceding the damage. The limitations do not apply to damage caused intentionally or by gross negligence.
12. Changes to these terms
These terms may be changed. The dealer is notified of a change at least 15 days before it takes effect, by email or in the service. If the dealer does not accept the change, it can terminate the agreement before the change takes effect; continued use after the change constitutes acceptance.
13. Term and termination
The agreement is in force for an indefinite term. The dealer may terminate the agreement by notifying bilbil.fi. bilbil.fi may terminate the agreement with 30 days’ notice and may restrict or suspend the business services for a justified reason; in case of material misuse or a breach of law the agreement may be terminated with immediate effect. The grounds for a restriction or termination are communicated to the dealer.
When the agreement ends, the dealer site is closed and management rights are removed. The public listing and price history remains in the service, as do the rights of use under section 6 to content already published. Provisions that by their nature are intended to survive, such as the rights of use, the limitations of liability and confidentiality, remain in force after the agreement ends.
14. Other terms
These terms are governed by Finnish law, and disputes are heard by the District Court of Helsinki. The dealer may not transfer the agreement without the consent of bilbil.fi; bilbil.fi may transfer the agreement to the acquiring company in connection with a business transfer. Notices to the dealer are sent to the email address the dealer has provided.
The parties keep confidential any non-public business information received from each other. If any provision of these terms is found invalid or unenforceable, the remaining provisions stay in force and the invalid provision is replaced by the closest permissible one. If a party does not invoke a right on some occasion, that does not mean it waives it.
